Terms of Service

Please Read Carefully: By using the Frozen Fly International matrix ecosystem, registering an account, or purchasing a membership progression package, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Member", "User", "you") and Frozen Fly International Inc. ("Company", "we", "us"), a corporation registered and operating under the laws of the Province of Ontario, Canada, with a registered office located at 9528 25 Hwy, Halton Hills, Ontario, L9T 2X7, Canada.

1. Eligibility and Registration

To register a membership account and participate in the Frozen Fly International structural matrix progression, you must:

  • Be at least eighteen (18) years of age, or the legal age of majority in your jurisdiction.
  • Represent and warrant that all registration details provided (Full Name, Email Address, Country of Residence, Phone Number) are accurate, complete, and truthful.
  • Ensure your sponsorship details are verified. You must register utilizing an active referrer's registration link or referral code.

2. Nature of the Platform and Services

Frozen Fly International provides database-secured membership allocation and matrix progression software queue management services.

  • Not an Investment: The activation fee and matrix progression payments represent fees for licensing software services and membership benefits. Frozen Fly International is not a bank, investment advisor, or high-yield investment program (HYIP). We do not guarantee passive returns, interest, or financial yield on allocations.
  • Matrix Commissions: All referral commissions, level payouts, and global pool distributions are generated mathematically from active network member progression and product sales. If recruitment or membership sales decline, matrix progression payouts may slow or stop completely.

3. Canadian MLM & Anti-Pyramid Compliance

Frozen Fly International is dedicated to strict compliance with the Canadian Competition Act (Sections 55 and 55.1):

  • Commissions are calculated based on active membership tier updates and service progression sales.
  • We prohibit representations of potential compensation that are not fair, reasonable, or timely. Member earnings depend entirely on individual efforts, time investment, and performance of their referral network. Refer to our Income Disclaimer Statement for details.
  • There is no requirement to purchase inventory or excess services to maintain matrix active status.

4. Payments, Upgrades, and E-Pins

  • Fees & Activations: Membership activation fees and level upgrade payments must be paid through approved gateways (such as local payment vouchers or E-Pins).
  • Refund Policy: All digital transactions, E-Pin purchases, and level progression upgrades are final and non-refundable due to immediate allocation of commission funds to direct/indirect upline members.
  • E-Pins: E-Pins must be purchased only from authorized sponsors or the central company panel. Unauthorized transfer or counterfeit generation of E-Pins will result in immediate termination of all accounts involved.

5. Code of Conduct & Account Suspensions

To maintain matrix integrity, the company reserves the right to suspend or terminate any user account if we discover:

  • Spamming or fraudulent enrollment of dummy/phantom accounts (cross-sponsoring, stacking).
  • Creation of multiple accounts under falsified names or mismatched country indicators.
  • Engaging in misleading income advertising or representing Frozen Fly International as a passive investment fund.
  • Hostile, threatening, or offensive communications with support administrators or matrix community members.

6. Limitation of Liability

To the maximum extent permitted by applicable Canadian law, Frozen Fly International Inc. and its directors, employees, or developers shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from database latency, matrix queue queues delays, payout gateway issues, or account suspensions in accordance with these Terms.

7. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the **Province of Ontario** and the federal laws of **Canada** applicable therein. Any legal dispute, lawsuit, or arbitration arising from these Terms or use of the services must be filed exclusively in the courts located in Toronto, Ontario, Canada.
